Ludo Genie Terms of Use

Welcome to Ludo Genie (ludogenie.com). These terms of use (the "Terms") form the contract between you and Ludo Genie, an operator established in Quebec, Canada ("Ludo Genie", "we", "us"). They apply to the website, the web app and every game offered (the "Service").

Purchases are also governed by our Purchase Terms. How we handle your personal information is described in our Privacy Policy.

By using the Service, you accept these Terms. If you do not accept them, please do not use the Service.

1. In short

• No account, no password: your rights are tied to your devices (your "Lamp").
• Free full access for 15 days, no account, no credit card and no automatic renewal, then 50 free Ludo Tokens in every game until day 30.
• Ludo Tokens have no monetary value. They can never be wagered or won. Ludo Genie is not a gambling site.
• Online play goes directly from one device to the other, end-to-end encrypted. Our servers do not see your moves.
• The annual Pass can be cancelled online, at any time, in a few clicks.
• If you live in Quebec or anywhere else where the law protects you more, those protections always apply.

3. The Service

Ludo Genie offers more than 100 classic and original games: chess, checkers, card games, poker with play chips, puzzles, arcade games and games created by Ludo Genie. You can play alone, against a game AI, with two players on one device, or online with friends.

The Service is provided for personal, non-commercial entertainment.

4. Your Lamp and your devices

4.1 No account

Ludo Genie never asks for your name, a password or an account. On first launch, your browser creates a lamp key. This key proves to our servers that the device belongs to your Lamp.

4.2 Device limits

• A Lamp can have at most 2 active devices.
• To add a device, use a 6-digit pairing code, valid for 10 minutes.
• You can replace a device at most 2 times per 30-day period.

4.3 Your responsibility

Your rights are tied to your devices. If you clear your browser data or lose a device, its lamp key goes with it. To recover your purchases, use recovery with the email on your receipt (see the Purchase Terms). Never share a pairing or recovery code with anyone: Ludo Genie will never ask you for one.

4.4 Personal use

A Lamp is meant for one person or one household. You may not share it beyond 2 devices, sell it or resell access to it.

6. Nature of Ludo Tokens and no gambling

6.1 Tokens are not money

Ludo Tokens:

• have no monetary value and are not a currency, a payment instrument or property that you own;
• represent a limited, revocable licence to access games;
• are not refundable for cash, except where the law requires it or as set out in the Purchase Terms;
• cannot be transferred, exchanged, sold or converted;
• can never be wagered or won.

6.2 No gambling or betting

Ludo Genie runs no gambling, no betting and no contests. No game lets you wager money or anything of value, or win a prize, money or anything of value.

In poker and similar games, bets are made with play chips that are separate from Ludo Tokens. Play chips have no value, cannot be bought or cashed out, and cannot be converted into anything. These games are for entertainment only. Success at poker with play chips does not imply future success at real-money gambling. 7. Online play

7.1 How it works

Online games go directly from one device to the other (peer-to-peer), end-to-end encrypted. Ludo Genie runs no game server. Public meeting points (encrypted relays) help your devices find each other. They only see encrypted messages. Our servers receive only the game bookkeeping (game, mode, times, status), never the content of your moves.

As with any direct connection, your device's technical network address may be visible to your opponent's device. Only play online with people you trust.

7.2 Your nickname

The nickname you choose is sent only to your opponent. It is filtered and never stored on our servers. It must not contain insults, sexual content, advertising, links or personal information (for example your full name or address).

7.3 Code of conduct

You agree to play in good faith and to respect other players. You can block a player at any time.

8. Prohibited uses

You may not:

• cheat, including by using an analysis engine or outside help in an online game against a human;
• circumvent or attempt to circumvent the Service's protections (device limits, free access, discovery games, tokens, commitment point, cryptographic signatures);
• copy, modify, decompile or reverse engineer the Service's code, except to the extent the law expressly allows;
• use bots, scripts or any automated means to play or to access the Service;
• resell, rent or share access beyond 2 devices;
• harass, threaten or insult another player;
• interfere with the operation of the Service or of the public meeting points;
• use the Service for any unlawful purpose.

9. Intellectual property

9.1 What belongs to Ludo Genie

The code, interfaces, visuals, sounds, text, the Ludo Genie name and logo, and the original games Funambule, Contrepoids, Cairn, Brouillard, Veilleurs and Dévale belong to Ludo Genie or its licensors. They are protected by copyright and trademark laws.

Ludo Genie grants you a personal, non-exclusive, non-transferable and revocable licence to use the Service in accordance with these Terms. No other rights are granted to you.

9.2 Classic games

The rules of classic games (chess, checkers, traditional card games and others) are in the public domain. Ludo Genie claims no rights in those rules, only in its own implementation.

The Service includes third-party components, used under their licences:

10. Availability of the Service

10.1 Changes

We improve Ludo Genie regularly. We may add, change or remove games or features. If a change significantly reduces what you paid for, you may request a proportional refund (see the Purchase Terms).

10.2 Offline play

With the Pass, a signed 24-hour offline pass lets you play without a connection. It renews automatically the next time you connect.

10.3 Interruptions

We make reasonable efforts to keep the Service available, but it may be interrupted for maintenance, an outage or a cause beyond our control. The returned-token and replay mechanisms (see the Purchase Terms) protect you when an outage happens mid-game.

10.4 End of the Service

If we stop offering Ludo Genie, we will publish reasonable notice of at least 60 days and refund the unused portion of active Passes on a prorated basis.

11. Suspension and termination

11.1 By you

You can stop using the Service at any time. The "Delete my Lamp" button deletes your rights and your server-side data, subject to our legal obligations. The Pass is cancelled online (see the Purchase Terms).

11.2 By Ludo Genie

In the event of a serious or repeated breach of these Terms (for example cheating, fraud, circumventing protections or reselling access), we may suspend or deactivate a Lamp. Except in an emergency, a case of fraud or where the law requires otherwise, we will inform you in the app of the reason, and you may submit your comments to support@ludogenie.com. An unjustified suspension entitles you to have your rights restored or to a proportional refund.

12. Warranties and liability

12.1 What we guarantee

We provide the Service with care and as described. You benefit from every warranty that applicable law grants you and that we cannot exclude, including the legal warranties under Quebec's Consumer Protection Act.

12.2 Limits

To the extent permitted by applicable law:

• the Service is provided without any guarantee that it will be free of errors or interruptions;
• Ludo Genie is not liable for indirect losses, or for damage caused by a device, browser, network or third-party service beyond its control;
• Ludo Genie's total liability to you is limited to the amounts you paid for the Service in the 12 months before the event.

12.3 Protections that remain

Nothing in these Terms excludes or limits our liability where the law prohibits it, including for intentional or gross fault, for bodily or moral injury, or toward a consumer in Quebec, the European Union, the United Kingdom or any other jurisdiction whose mandatory laws prohibit it. The limits in section 12.2 do not apply to Quebec consumers to the extent the Consumer Protection Act prohibits them.

13. Age

Ludo Genie is a general-audience service. The games are suitable for everyone, but purchases are reserved for adults or for minors authorized by a parent or guardian. A person under 13 (under 14 in Quebec, or the age set in their country) must have a parent's permission to make a purchase. The Privacy Policy sets out our rules regarding children.

14. Changes to the Terms

We may change these Terms, for example to keep up with changes in the law or the Service. For any change affecting an essential element of your contract (price, term, nature of the Service), we will publish a notice at least 30 days before it takes effect, in the app and on this page. The notice will clearly set out the new clause, the clause being changed, the effective date and your right to refuse the change.

If you refuse, you may terminate your contract at no cost, penalty or indemnity by cancelling your Pass within 30 days after the change takes effect. A change to the Pass price never applies before your next renewal.

15. Governing law and courts

15.1 Governing law

These Terms are governed by the laws of Quebec and the federal laws of Canada that apply there. This choice never deprives you of the mandatory protections of the laws where you live, including those of the European Union, the United Kingdom or your U.S. state.

15.2 Dispute resolution

Write to us first at support@ludogenie.com: most issues are resolved quickly.

• If you live in Quebec, you may go to the court of your domicile, including the Small Claims Division of the Court of Québec. Nothing in these Terms requires you to arbitrate and nothing prevents you from taking part in a class action. You may also contact the Office de la protection du consommateur.
• If you live elsewhere in Canada, you may go to the competent courts of your province or to those of Quebec.
• If you live in the European Union or the United Kingdom, you may go to the courts where you live.
• If you live elsewhere, the courts of the judicial district of Québec, in Quebec, have jurisdiction, unless the law where you live gives you another remedy.

Ludo Genie will never impose mandatory arbitration or a class action waiver on you.

16. General provisions

• Language: these Terms are available in French and English. Both versions have equal force. In Quebec, the French version prevails in case of discrepancy.
• Entire agreement: these Terms, the Purchase Terms and the Privacy Policy form the entire agreement between you and Ludo Genie regarding the Service.
• Severability: if a clause is found invalid or unenforceable, the other clauses remain in effect.
• Assignment: you may not assign your rights. Ludo Genie may assign the contract to a successor that takes over the Service and maintains your rights and protections; you will be informed.
• No waiver: failing to exercise a right is not a waiver of that right.
